You shall not acquire through the Worldcoin Foundation Grant Program any WLD tokens if you are a citizen, resident (tax or otherwise), green card holder of the United States of America, and/or a “U.S. Person” as defined under Rule 902 of Regulation S of the U.S. Securities Act of 1933, as amended, or if you are a person in any jurisdiction in which such acquisition is unlawful, prohibited, or unauthorized (all the aforementioned persons collectively, a “Restricted Person”). For the avoidance of doubt, the term “Restricted Person” includes, but is not limited to, any natural person residing in, or any firm, company, partnership, trust, corporation, entity, government, state or agency of a state, or any other incorporated or unincorporated body or association, association or partnership (whether or not having separate legal personality) in the relevant jurisdictions. You are not acquiring WLD tokens for the account or benefit of any Restricted Person, and shall not resell or otherwise transfer any WLD tokens to any Restricted Person.

By participating in the Worldcoin Foundation Grant Program, you represent that (i) you are not a citizen or resident of, organized under the laws of, or physically located in, a jurisdiction that is the subject of sanctions administered by the U.S. Office of Foreign Assets Control (“OFAC”) or under the European Union or United Kingdom regulations (as extended to the Cayman Islands by statutory instrument), including Cuba, Iran, Syria, North Korea, and the non-government controlled regions of the Ukraine, including Crimea, the so-called Donetsk People’s Republic and the so-called Luhansk People’s Republic (a “Sanctioned Jurisdiction”); (ii) you are not acting on behalf of any individuals or entities operationally based or domiciled in a country or territory in relation to which current sanctions have been issued by the European Union, United Nations, United States or United Kingdom; and (iii) you are not the subject of sanctions administered by OFAC, and is not identified on the U.S. Department of Commerce’s Denied Persons, Unverified, or Entity List, the U.S. Department of State’s Debarred Parties List, the European Union’s Consolidated list of persons, groups and entities subject to financial sanctions or the United Kingdom’s Consolidated list of financial sanctions targets or a prohibited or restricted party list of any other applicable local or competent, or employed or directly or indirectly owned or controlled (50% or more) by a person who is.
